FAQ

Questions deal teams ask

What to upload, how findings are verified, and how your documents are kept.

What do I need to upload?

CIMs and management presentations, financial statements, general ledgers, monthly balance sheets, bank statements, lender confirmations, management's answers to diligence questions and SEC filings. PDF, Excel, Word, PowerPoint, CSV, text and email files all work, and so does a zipped folder of them; scanned pages are read with text recognition. You don't need a full data room: one CIM or a seller's notes is enough to start, and each document you add is checked against the others. Files don't need a set format: exports from QuickBooks, Xero, Sage and NetSuite, and statements however their lines and years are labeled, are read as they come.

Does AI read my documents?

No. DealBasis uses fixed, tested rules, so the same documents always produce the same result, and every finding shows the rule behind it.

What happens when a figure only appears in the text?

DealBasis reads figures written in sentences, like "revenue of $3.3 million in 2024", and compares them with the financial statements for the same line and year, allowing for rounding. A match is confirmed; a difference is reported and the statement figure is used. If no statement covers it, the figure from the text is used and labeled as such.

How do I know a finding is right?

Every figure links to the page and line, spreadsheet cell or ledger row it came from. Before a finding is shown, each of its citations is re-read against the document to confirm it shows the figure.

Does DealBasis replace a quality of earnings report?

No. DealBasis builds a quality of earnings analysis from the documents you upload: reported and adjusted EBITDA, every add-back tested against the ledger, revenue quality, working capital, debt and a proof of cash, each figure cited to its source. Deal teams use it before the letter of intent to decide which deals deserve a full QoE, and alongside the accounting firm's work to focus and cross-check it. It is not an audit or attestation, and not a QoE report signed by an independent accounting firm, which lenders and buyers usually still require before closing.

Where are my files stored?

Documents are read in your browser when you upload them. The results and the original files are stored in your firm's own workspace, and access rules are enforced by the database.

Can my team work on the same deal?

Yes. Invite colleagues, set who can edit or only view, assign issues and leave comments on findings.

How do I get help or a demo?

Signed in, open Help in DealBasis and use Get help to send a question, report a problem or flag a security concern. Not using DealBasis yet? Request a demo and we’ll set up a walkthrough.

Do I need an account to try it?

No. The Project Saguaro sample deal opens without an account, including the memo and deck downloads. Create an account when you want to upload your own deals.

Security

Built for confidential deal documents

Your documents stay in your firm's private workspace, and every action and conclusion can be traced.

Read in your browser

Documents are read on your own computer when you upload them. Results and originals are stored in your firm's private workspace.

No AI reads your files

DealBasis uses fixed, tested rules. The same documents always give the same answer, and you can see the rule behind every finding.

Access for your team only

Invite colleagues and choose who can edit or only view. Access rules are enforced by the database itself.

A separate workspace for each firm

Every firm's deals, files and members live in their own workspace. The database keeps other firms out of it, not just the app.

Two-factor sign-in

Sign in with a code from an authenticator app. Admins can require it for everyone and choose how soon inactive sessions are signed out.

Activity log, export and deletion

Admins see who signed in, changed or opened what, and when. They can export the whole workspace or delete it permanently.
