Terms of Service

The terms for using DealBasis, in plain language.

Last updated October 11, 2026

What DealBasis is, and isn't. DealBasis produces a quality of earnings analysis and other diligence analysis from the documents you upload, using fixed rules. It is not an audit, review, compilation or other attestation, and it is not a quality of earnings report issued by an independent accounting firm. It is not investment, legal, tax or accounting advice. Use it to support your own diligence and your advisers' work, not to replace them.

1. Agreement

These Terms govern your use of the DealBasis website and platform (the "Service"). By creating an account or using the Service you agree to them on behalf of yourself and, if you use it for a firm, that firm ("you"). If you don't agree, don't use the Service. A signed agreement between DealBasis and your firm takes priority over these Terms where they differ.

2. Accounts and access

You must give accurate sign-up information, keep your password and any authenticator device secure, and tell us promptly about any unauthorized use. Each firm's workspace is administered by its admins, who decide who can join, what role each person has, whether two-factor sign-in is required and when to remove people. You are responsible for activity in your account and, for admins, in your workspace.

3. Your documents and data

You keep all rights to the documents and information you upload and to the outputs generated from them ("Your Data"). You give DealBasis permission to host, store, process and display Your Data only to provide, secure and support the Service for you. We don't sell Your Data, use it to train AI models or share it with other customers. You confirm you have the right to upload Your Data, including under any confidentiality agreement with a seller, and that doing so doesn't break any law or agreement.

4. How the analysis works and its limits

DealBasis reads documents by fixed, published rules and cites the page, line, cell, row, paragraph or tag each figure comes from. Citations behind each issue are re-checked against the documents, and an issue that can't be confirmed is held back as "to verify". Even so:

  • The analysis can only be as complete and accurate as the documents provided. Wrong, incomplete or misleading source documents produce analysis that reflects them.
  • Figures that can't be read or placed are left out, so the absence of an issue doesn't mean no issue exists.
  • Outputs, including the quality of earnings analysis, the investment committee memo and deck, and the seller question list, are drafts for your review. You are responsible for checking them and for every decision you make.

5. Your use of outputs and no reliance by others

Outputs are prepared for your firm's internal use in evaluating transactions. No one else, including lenders, co-investors, limited partners, sellers or their advisers, may rely on them, and DealBasis owes no duty to anyone other than you. If you share an output, you do so at your own risk, and you are responsible for any claim by the person you shared it with.

6. No advisory relationship

DealBasis is a software tool. It is not your financial adviser, accountant, auditor, lawyer or fiduciary, and using the Service does not create any such relationship. DealBasis does not recommend whether to pursue, price or close any transaction.

7. Confidential and non-public information

Documents you upload may include information received under a confidentiality agreement, or material non-public information about a company or its securities. You are responsible for having the right to upload and use that information, for following any restrictions on it, and for complying with securities and other laws that apply to it.

8. Acceptable use

You won't: use the Service against the law or anyone's rights; upload malware; try to reach another firm's workspace or data, test the Service's security without our written permission, or get around access controls; resell or share access outside your firm; or copy or reverse-engineer the Service to build a competing product.

9. Subscriptions, renewal and fees

Paid plans are billed as stated when you subscribe or in your order form. Unless your order form says otherwise, a subscription renews automatically for the same term at the then-current price until cancelled. You can cancel at any time from your account or by contacting us; cancellation takes effect at the end of the current paid period, and you keep access until then. We'll remind you before an annual renewal. Fees are charged in advance, aren't refundable except where the law requires, and exclude taxes. We'll give at least 30 days' notice before changing the price of an existing subscription. If payment fails, we may suspend paid features after notice.

10. Free access, trials and the sample deal

The sample deal, free trials and features marked as preview are provided as-is, without any commitment, and we may change or end them at any time.

11. Ownership of the Service and feedback

DealBasis and its licensors own the Service, including its software, rules, design and documentation. While your subscription is active, you get a non-exclusive, non-transferable right to use the Service for your firm's internal business. If you send suggestions or feedback, we may use them without restriction or payment.

12. Usage statistics

We may collect anonymized statistics about how the Service is used, such as which features are opened and how long pages take to load, to operate and improve it. These statistics never include document contents, deal figures, company names or other Your Data, and are never shared in a form that identifies you or your firm.

13. Confidentiality and security

We treat Your Data as confidential and protect it with the measures described in our Privacy Policy and on our security page, including separate workspaces for each firm enforced by the database, encryption in transit and at rest, two-factor sign-in and an audit log. No system is perfectly secure; we'll tell affected customers without undue delay if we confirm a breach of Your Data. Each party will protect the other's non-public information with reasonable care and use it only for this relationship.

14. Service providers and data processing

We use a small number of service providers to host and run the Service (currently Supabase for the database, storage and sign-in; Vercel for hosting; an email delivery provider; and a payment processor). Each is bound by contract to protect Your Data. We'll give account admins notice before adding a provider that stores Your Data. A Data Processing Addendum covering applicable privacy laws is available on request.

15. Availability and support

We work to keep the Service available and to back up stored data, but unless an order form includes a service level, we don't guarantee any level of availability. The Service is not a records archive: keep your own copies of documents you upload. Support is available through Help in the platform and our contact form.

16. Ending use

You can stop using the Service at any time, and an admin can export or permanently delete a workspace from the Admin page. We may suspend or end access for serious or repeated breach of these Terms, or if the law requires. After an account ends, we delete Your Data from active systems within 30 days, apart from backups, which expire on their normal schedule, and the audit log, which records who did what and not document contents.

17. Warranty disclaimer

The Service is provided "as is" and "as available". To the fullest extent the law allows, DealBasis disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and doesn't warrant that the Service will be uninterrupted or error-free or that it will find every issue in a deal.

18. Limitation of liability

To the fullest extent the law allows, DealBasis is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, investment returns or deal opportunities, however caused. DealBasis's total liability for any claim relating to the Service is limited to the fees you paid in the 12 months before the claim. Nothing in these Terms limits liability that can't be limited by law.

19. Indemnity

You'll defend and indemnify DealBasis against third-party claims arising from Your Data, including a claim that you weren't entitled to upload it, or from your breach of these Terms.

20. Changes

We may update these Terms. We'll post the new version here with its date and, for material changes, tell account admins by email or in the platform at least 15 days before they take effect. Continuing to use the Service after that means you accept them.

21. Publicity

We won't name your firm as a customer or use its name or logo without your written permission.

22. Export controls and sanctions

You won't use the Service in violation of U.S. export control or sanctions laws, and you confirm you are not located in an embargoed country or named on a U.S. government restricted-party list.

23. Events beyond our control

Neither party is responsible for a delay or failure caused by events beyond its reasonable control, such as natural disasters, outages of internet or hosting providers, or government action, other than an obligation to pay fees.

24. General

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, and disputes will be heard in the state or federal courts in Maricopa County, Arizona. Each party waives any right to a jury trial in those disputes. These Terms, with any order form and Data Processing Addendum, are the entire agreement about the Service and replace earlier discussions. If any part is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it. The parties are independent contractors. You may not transfer these Terms without our consent; we may transfer them with a merger, acquisition or sale of the business. Sections on outputs and reliance, confidentiality, ownership, fees owed, warranty disclaimer, limitation of liability, indemnity and this section survive after the Terms end.

25. Notices

We send notices to the email address of your account or your workspace's admins, or in the platform. You can send notices through our contact form; legal notices should be marked "Legal notice".

26. Contact

Questions about these Terms: use our contact form, or Help, then Get help, inside the platform.
